Peter Marrone; Chairman of the Board of Directors

Mr. Marrone founded Yamana as President and Chief Executive Officer in July 2003 and was appointed Chairman of Yamana in May 2007. Mr. Marrone has more than 25 years of business and capital markets experience and has been on the boards of a number of public companies and advised companies with a strong South American presence. Mr. Marrone holds a Bachelor of Laws degree. Mr. Marrone also sits on the board of Aura Minerals Inc. and the York University Foundation.

Antenor Silva Jr.; Chief Executive Officer and Vice Chairman

Mr. Silva recently retired from a very successful career at Yamana, where he was President and Chief Operating Officer. Mr. Silva has more than 40 years of experience in the mining and chemical industries, having worked in various roles including executive management, operations, research and development, engineering and construction. He is known as one of the pioneers in research and development for metallurgy and engineering for mining projects in Brazil. Mr. Silva also helped to develop an innovative metallurgical process that permitted the concentration of lower grade phosphate rock into a high grade concentrate. This process has led to the highly profitable development and growth of phosphate fertilizer production in Brazil. Mr. Silva holds a B.Sc. in Mining Engineering from Universidade de Sao Paulo.

Leonardo Marques da Silva, B.Sc; Director

Mr. da Silva has extensive experience in agriculture, fertilizers, sales and distribution. Mr. da Silva acquired and was responsible for the exploration and development of Itafós in 2003. Prior to joining Itafós, he was a partner and director of a medium-sized soft drink manufacturer with five plants in central and north-eastern Brazil. Prior to that, Mr. da Silva was a partner and CEO of a sand and stone producer for civil construction with headquarter in Brasilia DF.

Alexander Davidson; Director

Mr. Davidson recently retired as the Executive Vice President Exploration and Corporate Development of Barrick Gold Corporation. A geologist with over 25 years of worldwide exploration experience, his outstanding accomplishments was recognized in his receiving the A.O. Dufresne Award in 2005 and being named Prospector of the Year in 2003.

Denis Arsenault, CA; Director

Mr. Arsenault was the Chief Financial Officer of Central Sun Mining Inc. (formerly Glencairn Gold Corporation) until March 26, 2009. Prior thereto, from 2001 to 2006, he was Vice President, Finance and Chief Financial Officer of Orbus Pharma Inc. Mr. Arsenault has held senior financial positions in a range of sectors, including mining and resources, communications, truck trailer manufacturing and life sciences. He began his career with KPMG in 1981, later joining Maclean Hunter Ltd.’s Key Radio Limited. In 1985, he founded Wasserman Arsenault, Chartered Accountants, and in 1995 became Vice President, Finance and Chief Financial Officer for Mond Industries (Trailmobile Canada Ltd.). Mr. Arsenault holds a Bachelor of Commerce from the University of Toronto. Mr. Arsenault is a Chartered Accountant with more than 27 years experience and has been a director of a variety of public and private companies and has sat on the Audit Committee of most of these companies. As a result, he has gained an understanding of accounting principles and the ability to analyze and evaluate the financial statements of the Resulting Issuer.

Hon. David R. Peterson; Director

Mr. Peterson is a director of a number of public and private companies including Rogers Communications Inc., Franco-Nevada Corporation and Shoppers Drug Mart Corporation and was the Founding Chairman of the Toronto Raptors Basketball Club Inc. and Chapters Inc. Mr. Peterson is or was a director or active with a number of charitable, educational and environmental organizations including Chancellor of the University of Toronto, a director of St. Michael’s Hospital and the Shaw Festival, was Chairman of the successful Toronto Bid for 2015 Pan Am Games, Honorary Chairman of the Ontario March of Dimes, the Ontario Canada Day Committee, Canadian Club, Cercle Canadien, Council for Canadian Unity, Young President’s Organization, World President’s Organization, the Society for Educational Visits & Exchanges in Canada, Frontier College, Peter Lougheed Medical Research Foundation, Canadian Medical Hall of Fame, Magnetic True North Theatre, West Park Health Centre and Toronto Abuse Centre as well as being on the Advisory Board of the Coady International Institute and the Steering Committee of the Toronto City Summit Alliance.

Brian Hayward; Director

Mr. Hayward is an experienced senior executive, recognized within the business community and agricultural industry for driving large scale financial and cultural change. He has extensive experience in and knowledge of commodities and corporate finance. From 1991 to 2007, Brian was the CEO of Agricore United and its predecessor firm United Grain Growers. Agricore United was one of Canada’s largest agribusiness firms, with operations in grain merchandising, retail crop inputs and fertilizer, and agricultural financial services. He is the founder and President of Aldare Resources, through which Brian has been active in providing a range of services including providing directorship services and related expertise to public companies, private companies, crown corporations, advisory boards, and not-for-profit organizations. He has acted as Chairman of the Board and served as a member of the Audit Committee, Human Resources Committee, Governance Committee and other Special Committees of various public and private companies.

David Nierenberg; Director

Mr. Nierenberg is the founder of The D3 Family Funds. He is a summa cum laude graduate of Yale College and a graduate of Yale Law School. He brings several complementary disciplines: lawyer, strategic management consultant, corporate director, asset allocator, and venture capitalist. David worked seven years at Bain & Company, a large consulting firm, where he was a partner. He has been a full time investor for 27 years, 10 as a venture capitalist, principally with Trinity Ventures, and 17 at D3. Currently, he serves on the Washington State Investment Board, which oversees public employee retirement funds; chairs the board investment committee for Whitman College; and serves on the boards of Electro Scientific Industries (ESIO) and RadiSys Corporation (RSYS), which are D3 portfolio companies. From 2008 – 2012 he chaired the advisory board of the Millstein Center for Corporate Governance and Performance at the Yale School of Management.

Eduardo Ledsham; Director

Eduardo Ledsham has over 28 years of experience in mineral exploration project development and in implementation of greenfield projects. Mr. Ledsham joined Vale in 1986, working initially on copper, gold, manganese and nickel exploration and development projects in Carajas, Brazil. From 2005 to 2008, he served as Exploration and Development Director; in 2008, he was appointed Director of Global Exploration and Project Development, Energy and Fertilizers; and, in May 2010, he took on the role of Executive Director for Exploration, Energy and Project Implementation. Mr. Ledsham was a Board Member of Fosfertil S.A and was the Chairman of two energy companies, Vale Soluções em Energia and Vale Energia Limpa. He is currently the CEO of B&A Mineração Ltda., a Brazilian mining company which was created as a joint venture between AGN Participações, a Brazilian holding company whose main shareholder is Roger Agnelli, Vale's former CEO, and BTG Pactual, a Brazilian investment bank. Mr. Ledsham holds an undergraduate degree in Geology (Federal University of Minas Gerais), and a postgraduate degree in Valuation of Companies and Projects (Getulio Vargas Foundation). He also holds two MBAs (Dom Cabral Foundation, and IBMEC).
